Ms. Nolan's practice focuses on health care corporate transactions, intellectual property transactions, and business transactions.  

Ms. Nolan counsels technology-based businesses and e-commerce businesses on all aspects of their operations, focusing on the creation of and protection of intellectual property rights.  She also regularly advises health care professionals and health care providers and suppliers on transactional and regulatory matters, and assists clients in forming and operating professional practices.  Ms. Nolan has been published in state and national publications and frequently writes on intellectual property issues, health care corporate transactions and regulatory matters.

Intellectual Property

Trademarks

Ms. Nolan counsels clients on all issues relating to trademarks, service marks, trade dress and domain names.  She also assists clients in developing, selecting, registering and protecting trademarks and internet domain names; in licensing trademarks; policing third-party uses of trademarks and domain names; and enforcing trademark rights through litigation and arbitration.

Copyrights.

Ms. Nolan counsels clients on:

  •  Obtaining, securing and protecting rights arising under copyright law
  •  Enforcing such rights through cease and desist demands and litigation
  •  Registering copyrights in software, written and electronic text, online   content, architectural drawings and works, art work and online content.

Her experience includes negotiating and preparing work for hire agreements, proprietary rights agreements, software as a service agreements, development agreements and copyright assignments.

E-Commerce, Technology and Computer Law

Ms. Nolan counsels clients on all aspects of forming and operating online business models, on creating and operating software as service businesses and cloud computing businesses models.  Her experience includes negotiating and drafting licensing agreements, consulting agreements, distribution agreements, website provider agreements, web services subscription agreements and privacy policies.

She also advises clients on technology and trade secrets protection and the development of new ventures involving technology assets, software assets and other intellectual property assets.

Health Care

Ms. Nolan’s health care practice concentrates on health care corporate transactions and compliance matters.  Ms. Nolan regularly advises health care providers (including group practices, physical therapy groups, home health agencies and other health care related entities) on business and transactional matters such as:

  • The acquisition, merger and sale of medical practices and other health care entities
  • Formation of practice management entities, group practices, and ancillary providers and suppliers
  • Structuring of group practices
  •  Employment matters
  • Contracts

Physician Self-Referral Laws and Anti-Kickback Laws

Ms. Nolan counsels clients on structuring professional practices, office-sharing arrangements among practitioners, practice management agreements, and other relationships in a manner that promotes the client’s business goals while also complying with applicable health care regulatory laws.

Ms. Nolan advises clients on compliance programs, analyzes transactions for compliance with applicable health care regulatory laws and provides opinions on compliance with physician self-referral laws and anti-kickback laws.

HIPAA

Ms. Nolan advises clients on compliance with HIPAA and relationships with Business Associates.  She also works with clients to develop HIPAA Privacy and Security programs.

Ms. Nolan represents health care professionals in connection with professional licensing matters.
